1 NAME
The name of the club is “Reporoa Golf Club” (Incorporated)”
2 OBJECTS
2.1 To promote the game of golf in the Reporoa area
2.2 To provide members and visitors with a golf course, clubhouse and other amenities, and to equip, furnish, maintain and develop the same
2.3 To provide facilities to organize, promote and hold competitions and tournaments and to provide trophies and prizes for the same
2.4 To acquire by purchase, lease or hire any real or personal property or rights or privileges, which may be considered necessary for achieving the objects of the Club
2.5 To conduct such social activities as the Committee may from time to time see fit
2.6 To affiliate with the controlling bodies of Bay of Plenty Golf and New Zealand Golf
2.7 To borrow or raise such sums of money for purposes as the Committee may consider proper or expedient in accomplishing the objects of the club and to invest money not immediately required
2.8 To grant the use of the premises, facilities and equipment of the Club, upon conditions, and to such users as the Committee may think fit, and to formulate conditions regulating the activities of such users
2.9 To apply for, obtain and renew a licence for the Club in accordance with the provisions of the relevant Sale of Liquor Act and to manage the licensed premises in accordance with the provisions of the said licence
2.10 To employ and hire workers and trades people and pay them in return for services rendered to the club
3 CLUB COLOURS
The official colours of the club are grey and orange.
4 MEMBERSHIPS
The various categories of members are as follows:
4.1 Full Playing Members: full playing rights and voting rights at the club’s AGM. Eligible to become members of the Committee
4.2 Summer Members: full playing rights and voting rights at the club’s AGM for the period of daylight saving
4.3 Student Member: full playing rights. Must be between the ages of 10-18 years and a full time student
4.4 Associate Member: full playing rights. A member who is a primary member of another club
4.5 Social Member: full playing rights. Not eligible to participate in club competitions or to gain a New Zealand Golf handicap
4.6 Life Members: full playing rights and full voting rights at the club’s AGM. A person who has given exceptional service to the Club and who has been elected as a Life Member at the club’s AGM, following a recommendation from the Committee. A Life Member is not required to pay a subscription
The Committee has the authority to revise the list of categories as it sees fit
5 SUBSCRIPTIONS
5.1 Annual subscriptions payable by members will be determined at the club’s AGM
5.2 The time period for annual subscriptions will be from February 1 until January 31
5.3 Subscription renewal notices will be sent to members before January 14
5.4 Subscriptions must be paid by the last day of February. Time payments can be made by arrangement with the club
5.5 Any member who has not paid a subscription by the last day of February Must then pay green fees to play on the course
Will lose his or her NZ handicap
Will not be able to play in any club competitions
5.6 Unless a member wishes to transfer immediately to another club, any member who notifies the club of their intention to resign after renewal invoices have been sent out will be entitled to full playing rights until the last day of February
6 GREEN FEES
6.1 Green fees payable by visitors will be determined at the club’s AGM 7 ELECTION OF MEMBERS
7.1 All applicants for membership must complete the relevant form and submit the form to a member of the Committee for approval
7.2 Membership will not be activated until the relevant subscription has been paid
7.3 The Committee reserves the right to decline a membership application 8 RESIGNATION OF MEMBERS
8.1 Any member intending to resign from the club should inform the Secretary in writing before the last day of February
9 EXPULSION OF MEMBERS
9.1 The Committee has the right to cancel the membership of any member whose conduct is liable to negatively affect the character, good order and welfare of the club
9.2 Any member affected by clause 9.1 has the following rights:
a) To be notified in writing of the circumstances
b) To have the right of reply in writing and/or at a Committee meeting c) To appeal against any decision made about his or her membership at the club’s AGM, providing 14 days notice of this appeal is given to the Secretary prior to the AGM
d) To have the appeal decided by a vote of those present at the AGM. The member concerned, however, will not be entitled to vote
10 OFFICERS AND COMMITTEE
10.1 The officers of the club will consist of: Patron, President, Vice President, Men’s Club Captain, Women’s Club Captain, Vice Club Captain, Secretary, Treasurer, Handicapper, Bar Manager
10.2 Officers of the club will be elected at the club’s AGM.
10.3 In the event of a replacement officer being required in the period between AGMs, the Committee has the right to make such an appointment or to call a special General Meeting to make the appointment
10.4 The Committee will consist of the above-mentioned officers plus at least 3 other members elected at the AGM
10.5 The Committee will elect the following sub-committees at the first Committee meeting after the AGM:
a) Greens Committee
b) Match Committee
c) Health and Safety Coordinator
d) Emergency Procedures Coordinator
10.6 The Committee will be responsible for and have authority for all aspects of financial management, business planning and general affairs of the club which include the following:
a) The Committee may make by-laws, from time to time, for the use and control of the course, the clubhouse and other amenities of the Club
b) The Committee shall plan and co-ordinate a policy for the efficient and prudent use of the Club’s finances and resources including the maintenance and replacement of machinery, equipment, furniture and fittings.
c) The Committee shall have the authority to undertake any works on the course that it sees as necessary
d) The Committee shall have the authority to buy or sell any items or property at a price and upon such terms and conditions as it sees fit
e) The Committee shall have the authority to appoint, suspend or terminate the employment of staff
f) The committee shall have the authority to appoint sub-committees from time to time
g) The Committee shall report to the AGM on its progress and plans for the use and development of the Club. This report should include a balance sheet and a profit and loss report; signed by the Auditor, for the previous financial year.
11 MEETINGS
11.1 The AGM shall be held each year no later than 20 December, at a time and place determined by the Committee.
11.2 Notice of the AGM should be posted in the clubhouse and in the press at least 14 days before the proposed date of the AGM
11.3 The quorum for the AGM shall be 10 members.
11.4 Any proposal to change the rules of the club should be lodged with the Secretary at least 14 days before the date of the AGM. Any such proposal should be moved and seconded and should be displayed in the Clubhouse for 14 days prior to the AGM
11.5 A Special General Meeting of the Club may be called at any time providing the following conditions are met:
a) A request to hold the meeting is received by the Secretary at least 14 days prior to the proposed date of the meeting
b) The request is signed by at least 10 members of the club and states clearly the intended business of the Special General Meeting.
c) The request is displayed in the clubhouse for at least 14 days prior to the meeting
d) Only the specified business is transacted at the meeting
e) The Special General Meeting is chaired by the President
11.6 The Committee shall meet regularly and on at least 8 occasions between successive AGMs.
11.7 The quorum for a Committee meeting shall be 6 committee members. 12 WOMEN MEMBERS
12.1 The Women’s Club Captain shall be elected at the AGM
12.2 If the number of women members permits, the Women’s Club Captain may request permission from the Committee to form a separate Women’s Committee.
13 WINDING UP OF THE CLUB
13.1 In the event of the winding up of the Club in accordance with the Incorporated Societies Act 1908, the funds and assets of the Club remaining after payment and satisfaction of its debts and liabilities and the costs and expenses of winding up shall be distributed by the Committee to a like sporting body
13.2 If upon winding up or dissolution of the organisation there remains after the satisfaction of all its debts and liabilities any property whatsoever the same shall not be paid or distributed among the members of the organisation but shall be given or transferred to some other organisation or body with similar objects to the first organisation or for some other charitable purpose within New Zealand.
14 RULES OF THE GAME
14.1 The rules of play shall be those of the Royal and Ancient Golf Club of St Andrews and the local rules of the Reporoa Golf Club
14.2 Local rules shall be displayed on a club notice board at all times. Page 5 of 6
14.3 No addition to or alteration of the aims, personal benefit clause or the winding up clause shall be made which affect the tax exempt status/non profit body status.
14.4 The provisions and effect of this clause shall not be removed from this document and shall be included and implied into any document replacing this document.
15 PERSONAL BENEFIT
15.1 No member of the organisation, or any person associated with a member, shall participate in or materially influence any decision made by the organisation, in respect of the payment to or on behalf of that member or associated person of any income, benefit, or advantage whatsoever. Any such income shall be reasonable and relative to that which would be paid in an arms length transaction (being open market value).
